    Terms & Conditions

    Effective date: [DATE OF PUBLICATION]

This is a draft for legal review. Highlighted fields are placeholders and will be completed with Suda’s confirmed entity details before this page is published.

These Terms & Conditions (“Terms”) govern your access to and use of Suda, including the Suda mobile application, joinsuda.com, invitations, venue discovery, bookings, visits, Reels, Suda Passport, Suda Stars, creator features and related services.

By creating an account or using Suda, you agree to these Terms.

Suda is operated by [OPERATOR LEGAL NAME], located at [REGISTERED ADDRESS].

    1. Eligibility

You must be at least 18 years old and legally capable of entering into these Terms.

Some venues, events, products or activities may impose higher age requirements. You are responsible for complying with applicable venue and local requirements.

    2. Your account

You must provide accurate information and keep your account secure.

You are responsible for activity performed through your account unless unauthorized activity results from circumstances outside your reasonable control.

You may not create an account using another person’s identity or allow another person to impersonate you.

Suda may require phone, email, identity or age verification before making certain features available.

    3. Verification

Verification is intended to reduce impersonation, fraud and misuse.

A verification badge or status does not mean that Suda endorses a user, guarantees their identity beyond the checks actually performed, conducts a comprehensive background check or guarantees that interacting with them is safe.

Use your own judgment when meeting or travelling with other people.

    4. Venue discovery

Suda helps users discover venues and venue-related content.

Information such as opening hours, availability, pricing, menus, photographs, venue policies and accessibility information may be supplied by venues or other third parties and may change.

Suda does not guarantee that every venue listing is complete or current.

    5. Plans and invitations

Suda allows users to create plans and invite others.

An invitation may include venue, time, date, payment preference, arrival preference and a personal message.

    Statements such as:

    • “My treat”
    • “Split bill”
    • “I’ll pick you up”
    • “I’ll send a ride for you”
    • “Meet me there”

represent the plan or commitment communicated by the host or participants.

Unless Suda expressly states otherwise, these statements do not make Suda responsible for paying a bill, providing transportation or enforcing a private arrangement between users.

    6. Invitation security

Invitation links and codes are intended for the relevant recipient.

You must not deliberately intercept, sell, scrape, misuse or attempt to claim an invitation intended for someone else.

Suda may require recipient verification, including a mobile number and one-time code, before an invitation can be accepted or declined.

Suda may invalidate invitations that are expired, cancelled, duplicated, suspicious or inconsistent with platform rules.

    7. Bookings and venue confirmation

A request made through Suda is not necessarily a confirmed reservation.

A booking becomes confirmed only when the product indicates that the venue has confirmed it or another clearly stated confirmation mechanism has been completed.

Venues remain responsible for their own admission policies, service, availability, pricing, capacity and operations.

A venue may decline, modify or cancel a booking subject to its policies and applicable law.

    8. Arrival, rides and transportation

Suda may allow a host to indicate that they will pick someone up, arrange a ride or meet them at a venue.

Unless Suda expressly offers and accepts responsibility for a transportation service, Suda is not the transportation provider.

If a third-party ride or transport service is used, that provider’s terms and safety policies apply.

Users are responsible for exercising reasonable judgment when travelling or meeting others.

    9. Payments

Where Suda does not directly process payment, payment arrangements displayed in an invitation describe the participants’ stated intentions.

Where Suda introduces payment functionality, additional payment terms may apply.

You are responsible for charges you validly authorize through payment features.

Venue bills, cancellation fees, deposits or other charges may also be subject to the venue’s terms.

    10. Reels and user content

Suda may allow you to upload photographs, video, captions, comments, reviews, venue tags and other content.

You retain ownership of content you own.

By submitting content to Suda, you grant Suda a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, distribute, adapt and otherwise use the content as reasonably necessary to operate, promote and improve Suda, subject to applicable law and your privacy settings.

You must have the rights necessary to upload the content.

You must not upload content that infringes copyright, music rights, privacy rights, publicity rights or other third-party rights.

    11. Creator programme

Suda may offer creator features, status, attribution, rewards or campaigns.

Creator participation may be subject to additional programme terms.

Creator status does not guarantee payment, reach, bookings or other commercial results unless Suda expressly agrees otherwise in writing.

Creators must accurately disclose sponsored or commercial relationships where required.

    12. Suda Passport

Suda Passport may record verified venue visits, stamps, achievements or related activity.

Passport records are intended to reflect genuine activity. You must not attempt to fabricate visits, check-ins or achievements.

Suda may correct or reverse Passport records where activity is fraudulent, mistaken or later invalidated.

    13. Suda Stars

Suda Stars are a platform reward mechanism.

Unless Suda expressly states otherwise, Stars are not money, stored value, cryptocurrency or a bank balance.

Stars may be subject to earning limits, eligibility rules, expiry rules, reversals, anti-fraud measures and redemption conditions.

Suda may correct, reverse or withhold Stars obtained through fraud, abuse, technical error or activity that does not satisfy the relevant reward rules.

Any material changes affecting previously earned benefits will be handled in accordance with applicable law and published programme rules.

    14. Nearby and location features

If Suda offers Nearby or similar functionality, participation may be optional and location permissions may be required.

You must not use location features to stalk, harass, monitor or endanger another person.

Suda may limit, disable or restrict location-based features for safety reasons.

    15. Prohibited conduct

You may not use Suda to impersonate others; harass, threaten or stalk; distribute unlawful, hateful or abusive content; exploit minors; solicit or conduct illegal activity; commit fraud; manipulate invitations, bookings, Passport records or Stars; scrape or harvest user data; bypass authentication or security controls; interfere with Suda’s infrastructure; distribute malware; violate intellectual-property rights; or otherwise use Suda in a manner that risks harm to users, venues or the platform.

    16. Safety and moderation

Suda may provide reporting, blocking, moderation and verification tools.

We may review, restrict, remove or preserve content or accounts where reasonably necessary for safety, security, legal compliance or enforcement of these Terms.

Suda cannot guarantee the conduct of users or venues. You remain responsible for reasonable personal-safety decisions.

    17. Venues

Venues participating in Suda are responsible for the accuracy of information they provide and for honouring confirmed commitments subject to their applicable policies.

Venue operators may be subject to separate venue terms, commercial agreements or dashboard terms.

Nothing in these consumer Terms gives a venue rights to access information that Suda does not otherwise authorize it to receive.

    18. Third-party services

Suda may link to or integrate third-party services, including identity verification, communications, payments, maps, transportation, social platforms or venue systems.

Suda does not control third-party services and is not responsible for their independent acts or omissions.

Your use of those services may be governed by separate terms.

    19. Intellectual property

Suda and its licensors own the Suda name, logos, software, interface, designs, graphics and other platform materials, excluding user content and third-party materials.

You may use Suda only for its intended purposes.

These Terms do not grant you the right to copy, modify, sell, reverse engineer or commercially exploit Suda except where applicable law expressly permits it.

    20. Suspension and termination

Suda may restrict, suspend or terminate access where reasonably necessary because of fraud, abuse, safety concerns, legal requirements, repeated violations, security threats or material breach of these Terms.

Where appropriate and legally required, we may provide notice or an opportunity to appeal.

You may stop using Suda and request account deletion at any time.

    21. Service availability

Suda may change, suspend or discontinue features as the product develops.

We do not guarantee uninterrupted or error-free availability.

Planned and unplanned outages, venue availability, third-party systems and events outside Suda’s control may affect the service.

    22. Disclaimers

To the maximum extent permitted by applicable law, Suda is provided on an “as available” basis.

Suda does not guarantee that another user will attend a plan, that a venue will admit a user, that a booking request will be confirmed, that content is completely accurate, or that use of Suda will produce a particular social or commercial result.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

    23. Limitation of liability

To the maximum extent permitted by law, Suda and [OPERATOR LEGAL NAME] will not be liable for indirect, incidental, special, consequential or punitive losses arising from use of the service where such liability may legally be limited.

Nothing in these Terms limits liability that cannot legally be limited, including liability where exclusion would be unlawful.

    24. Your responsibility for claims

To the extent permitted by law, you are responsible for losses or claims arising from your unlawful use of Suda, infringement of another person’s rights or material violation of these Terms.

    25. Changes to these Terms

Suda may update these Terms as the platform develops.

If a change is material, we may provide notice through the app, website or another reasonable channel.

Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.

    26. Governing law and disputes

These Terms are governed by [GOVERNING LAW], subject to any mandatory consumer protections that apply where you live.

Unless applicable law requires otherwise, disputes will be subject to the courts of [GOVERNING COURTS / LOCATION].
